Partnership Overview

As a TW Partner, your business will be listed on the Thriving Wanders website, business directory and promotional materials. In return, you agree to offer an exclusive discount or special offer to TW Thriving Card holders.

The partnership covers independent businesses operating in Edinburgh and the Lothians.

There is no fixed term. The partnership continues on a rolling basis until either party terminates in accordance with Section 10 of these Terms.

3

Your Discount or Offer

3.1 You will choose the discount or offer you wish to provide to TW members. This can be a percentage discount, a fixed amount off, a free item, an upgrade or any other offer of your choosing.

3.2 The agreed offer must be honoured for all valid TW Thriving Card holders at all times during trading hours unless otherwise agreed in writing with TW.

3.3 If you wish to change, amend or withdraw your offer, you must give TW a minimum of 30 days written notice by emailing hi@thrivingwanders.com. Changes will not take effect until confirmed by TW and updated across all platforms.

3.4 TW reserves the right to feature your offer in newsletters, social media posts, the TW website and other promotional materials.

4

Refreshing Offers and Seasonal Promotions

4.1 TW encourages Partners to keep their offers fresh, relevant and engaging for members. We welcome seasonal offers, limited-time promotions, event-specific deals and any creative ideas that reflect your business and the time of year.

4.2 If you wish to add a new offer, update your existing offer or run a short-term promotion, please notify TW by emailing hi@thrivingwanders.com. We will update your listing and promote the new offer across our channels as soon as reasonably practicable.

4.3 TW may from time to time reach out to Partners ahead of key dates or seasonal periods (such as the Edinburgh Festival, Christmas or the Edinburgh Marathon) to discuss potential themed or collaborative promotions. Participation in any seasonal campaign is voluntary.

4.4 Partners are encouraged to consider how their offer might evolve over time to maximise engagement with TW members and drive repeat visits.

5

Collaborations and Events

5.1 TW may from time to time propose collaborations, joint promotions, pop-up events, community events, networking events or member experiences in partnership with participating businesses.

5.2 There is no obligation to participate. Any collaboration or event will be discussed and agreed between both parties in advance. Partners will never be committed to an event or promotion without their express written agreement.

5.3 If you are interested in hosting a TW member event at your premises (such as a tasting evening, workshop, networking event or wellness session), please get in touch. We are always open to ideas that benefit both your business and the TW community.

5.4 Where a Partner hosts or co-hosts an event in collaboration with TW, the Partner is responsible for ensuring their own public liability insurance covers the event and that all relevant health and safety requirements are met at their premises.

5.5 TW will promote any agreed collaboration or event across our platforms and to our membership base.

6

Thriving Card Verification

6.1 The TW Thriving Card is a digital membership card stored in the member’s Apple Wallet or Google Wallet and displayed on their phone. Members must present a valid, active Thriving Card to redeem your offer.

6.2 You and your staff are responsible for verifying that the card presented is valid before applying any discount. Verification should include checking: (a) the member’s name on the Thriving Card matches the name on their payment card; (b) the membership expiry date has not passed; and (c) the card displays a valid membership type.

6.3 TW will provide guidance and training materials on how to identify and verify a valid Thriving Card.

6.4 TW is not liable for any loss arising from a Partner applying a discount without properly verifying the member’s Thriving Card.

7

Staff Training and Awareness

7.1 You are responsible for ensuring all relevant staff are trained on and aware of the TW Thriving Card, the agreed discount or offer, and how to verify and apply it.

7.2 New staff should be briefed on the partnership as part of their onboarding. TW can provide training materials or guidance on request.

7.3 TW is not responsible for any loss, complaint or dispute arising from staff not being aware of or failing to honour the agreed offer.

8

Signage and Display

8.1 TW will provide you with a TW Partner window sticker and/or signage for display at your premises.

8.2 You agree to display the TW signage in a visible location (such as a front window, door or counter area) so that members can easily identify your business as a participating partner.

8.3 If the partnership is terminated, you agree to remove all TW signage within 14 days of the termination date.

9

Use of Your Business Name, Logo and Content

9.1 You grant TW permission to use your business name, logo, images, profile photo and a short description of your business across the TW website, newsletter, social media channels, printed materials and any other TW promotional platforms.

9.2 TW will represent your business fairly and accurately. If you have specific brand guidelines you would like us to follow, please provide these in writing.

9.3 You may request the removal of specific content featuring your business at any time by contacting TW in writing. We will action this within 14 days.

10

Termination

10.1 Either party may terminate this partnership at any time by providing a minimum of 30 days written notice by emailing hi@thrivingwanders.com.

10.2 Upon termination, you agree to cease offering the TW discount and remove all TW signage within 14 days. TW will remove your business from all active listings and promotional materials within a reasonable timeframe.

10.3 TW reserves the right to terminate the partnership immediately if the Partner brings TW into disrepute, consistently fails to honour the agreed offer, or breaches any of these Terms.

10.4 For Featured Business members who pay a recurring membership fee, termination of the partnership will also terminate the Featured Business membership. Cancellation follows the same terms as outlined in this section.

11

Liability

11.1 TW acts as a promotional platform connecting members with local businesses. TW does not take responsibility for the products, services, quality or customer experience provided by Partner businesses.

11.2 Any dispute between a TW member and a Partner business is a matter between those two parties. TW may assist in resolving complaints but is not liable for any loss, damage or claim arising from such disputes.

11.3 The Partner is responsible for ensuring that their offer complies with all applicable laws, regulations and trading standards.

11.4 TW’s total liability to any Partner under or in connection with these Terms shall not exceed the total amount paid by the Partner to TW in the 12 months preceding the event giving rise to liability. Where no fees have been paid, TW’s liability shall be limited to the fullest extent permitted by law.

11.5 Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other matter where it would be unlawful to exclude or restrict liability.

12

Data and Privacy

12.1 Any personal data shared between TW and the Partner will be handled in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

12.2 TW will not share member personal data with Partner businesses. Members redeem offers by presenting their Thriving Card in person or entering a Thriving Discount Code online. Partner businesses should ask for proof of membership when a member arrives at their location following an online booking.

12.3 For full details of how TW handles personal data, please refer to our Privacy Policy at www.thrivingwanders.com/privacy-policy.

13

Changes to These Terms

13.1 TW reserves the right to update these Terms from time to time. Partners will be notified of any material changes in writing at least 30 days before the changes take effect.

13.2 Continued participation following notification constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you may terminate the partnership in accordance with Section 10 before the changes take effect.

13.3 For Featured Business members on a recurring membership, acceptance of these Terms continues for the duration of your active membership and renews alongside your membership.

14

Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of Scotland. Both parties agree to submit to the exclusive jurisdiction of the Scottish courts.
